Glowstick End User Agreement
This End User Agreement ("Agreement") is a legal agreement between you ("User") and Glowstick ("Company") governing the use of the Glowstick software application ("Glowstick").
1. Acceptance of Terms
By using Glowstick, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms, you may not use Glowstick.
2. License
Subject to the terms of this Agreement, the Company grants the User a limited, non-exclusive, non-transferable license to use Glowstick for personal or commercial purposes.
Limitations on Characters for Commercial Use: Users should be aware that the commercial use of characters within Glowstick may be subject to restrictions. Characters and movie sets labeled as "non-commercial" on the preview thumbnail are restricted to non-commercial projects only. Commercial use of these characters and movie sets may require additional permissions or licenses.
3. User Conduct
The User agrees to use Glowstick in compliance with all applicable laws and regulations. The User shall not engage in any conduct that may impair the functioning of Glowstick or interfere with other users' ability to use Glowstick.
4. Intellectual Property
Glowstick and all associated content, including but not limited to graphics, logos, and text, are the property of the Company and are protected by copyright and other intellectual property laws.
5. Privacy
The Company may collect and use personal information as described in its Privacy Policy. By using Glowstick, the User consents to the collection and use of their personal information in accordance with the Privacy Policy.
6. Disclaimer of Warranties
Glowstick is provided "as is" and "as available" without any warranties of any kind, whether express or implied. The Company does not warrant that Glowstick will be error-free or uninterrupted.
7. Limitation of Liability
In no event shall the Company be liable for any damages arising out of the use or inability to use Glowstick, including but not limited to direct, indirect, incidental, or consequential damages.
8. Indemnification
The User agrees to indemnify and hold harmless the Company from any claims, damages, or losses arising out of the User's use of Glowstick or breach of this Agreement.
9. Governing Law
This Agreement shall be governed by and construed by the laws of Delaware, USA, without regard to its conflict of law principles.
10. User Accounts
a. Guest Users: Guest users have limited access to features within Glowstick and are not required to open an account.
b. Registered Users: Registered users have full access to all features within Glowstick. To register, users must provide an email address and a username. This information is used to identify individual accounts so that assets, creations, and custom uploads can be assigned to their respective users. User accounts are also utilized for internal analytics purposes.
c. Privacy and Data Usage: Glowstick respects the privacy of its users and does not sell user information to third parties. User data is used solely for the purposes outlined in this Agreement and under Glowstick's Privacy Policy.
11. Modifications to Agreement
The Company reserves the right to modify this Agreement at any time. Any changes to this Agreement will be effective immediately upon posting. The User's continued use of Glowstick after any modifications constitutes acceptance of the revised Agreement.
12. Termination
The Company may terminate this Agreement at any time without notice if the User breaches any provision of this Agreement. Upon termination, the User must cease all use of Glowstick.
13. Entire Agreement
This Agreement constitutes the entire agreement between the User and the Company regarding the use of Glowstick and supersedes all prior agreements and understandings.
